The Creator Program agreement, in plain language.

By enrolling in, accessing, or participating in the Program, you agree to these Creator Program Terms & Conditions (these "Terms"), our Privacy Policy, the general Talk Here Now Terms of Service, and any additional program rules we publish (collectively, the "Agreement"). If you do not agree, do not enroll or participate. We may require you to affirmatively accept these Terms (e.g., by checking "I agree") before participating. If you participate on behalf of a business, you represent that you are authorized to bind it.

• "Creator" / "you" — an individual or entity accepted into and participating in the Program.
• "Referral Link / Code" — the unique link and/or code we issue you to track referrals (e.g., talkherenow.com/?ref=YOURCODE).
• "Referred User" — a person who first arrives at Talk Here Now through your Referral Link/Code and creates a Talk Here Now account.
• "Qualifying Conversion" — a Referred User's first eligible paid subscription that we credit under the current Program rules.
• "Commission" — the amount we credit you for a Qualifying Conversion (see §5).
• "Campaign Agreement" — a separate written campaign order, statement of work, marketplace order, or other written agreement, accepted by both you and Talk Here Now LLC, covering paid sponsored content. The Creator Program alone is not a Campaign Agreement.
• "Stripe" — Stripe, Inc. and its affiliates, our third-party payments processor, through which all payouts are made.
• "Stripe Onboarding" — the identity, tax, and bank-account verification Stripe requires before it will pay a connected account.
• "Pending / Available / Paid" — the states of a Commission (see §5–§6).

To participate you must:

• Be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract;
• Provide accurate, complete information and keep it current;
• Reside in, and be able to receive payouts in, a country we support for payouts (see §7.4);
• Not be a Talk Here Now employee, contractor, or immediate-household member of one (except as we expressly permit);
• Not be barred from receiving payments under applicable law (including sanctions and export-control laws); and
• Comply with this Agreement and all applicable laws.

We may accept or decline any applicant, and impose additional eligibility requirements, at our discretion.

• One account per person/entity. Duplicate, fake, or bulk accounts are prohibited and may be terminated with forfeiture of balances.
• You are responsible for all activity under your account and for keeping your credentials secure.
• Your Referral Link/Code is licensed to you for use only as permitted by this Agreement; we may change, reissue, or deactivate it at any time.

• Attribution is first-touch and one-time. A Referred User is attributed to the first valid Referral Link/Code they use, and each user can be attributed to only one Creator, ever. Later links do not change attribution.
• How your code travels. When someone opens your Referral Link, your code is stored in that browser. There is no deadline: if they create an account in that browser later, you are credited, however long it takes. But it only works in the browser and on the device where the link was opened. If they clear their browsing data, use private browsing, or switch to another device, the code is lost. We cannot recover or assign a referral afterwards, except to correct a verified error on our side.
• A Commission is earned only on a Qualifying Conversion — when a Referred User you attributed successfully makes their first eligible paid subscription payment, as determined by us and our billing records. See §6 for exactly when a provisional entry becomes an earned Commission.
• Current Commission: $5.00 USD, one time. Paid once, on the Referred User's first eligible paid subscription transaction. There is no Commission on renewals, recurring charges, upgrades, add-ons, taxes, or any later revenue from that user, and no continuing share of what they go on to pay. Amounts and qualifying events are set by the current Program rules and may change for future referrals (see §12); the rules in effect at the time of the conversion apply.
• No credit for: self-referrals; users you attribute to yourself or to accounts you control; conversions we determine to be fraudulent, invalid, incentivized in violation of §9, reversed, or not genuinely new; or conversions occurring before you were validly enrolled.
• We are the sole record of truth for clicks, referrals, attributions, conversions, and balances. Our determinations are final.

Your only compensation under the Program is the Commissions described in these Terms, plus any fixed fee expressly stated in a Campaign Agreement that both you and Talk Here Now LLC have accepted.

Nothing here gives you a piece of the company. Neither these Terms, the Program, your Referral Link or Code, any Campaign Agreement, nor any promotion you run grants or implies any equity, stock, option, ownership interest, royalty, residual, profit participation, share of enterprise value, share of financing or acquisition proceeds, partnership interest, intellectual-property ownership, or right to any future revenue of Talk Here Now LLC.

A Commission is a contractual payment for acquiring a customer, and nothing more. No further payment is owed on the basis of views, impressions, virality, traffic, referrals, sales volume, future subscriptions, our revenue, our funding, our valuation, an acquisition, product changes, or ideas you suggested — unless we agree to it in a separate writing that both of us accept.

The Creator Program is an affiliate programme. Joining it does not require you to make anything, and does not require us to buy, commission, sponsor, approve, or promote anything you make.

Any paid sponsored post, video, livestream, advertisement, or other deliverable needs a separate Campaign Agreement. That agreement is where deliverables, platforms, deadlines, posting duration, disclosures, revisions, analytics, payment terms, content rights, and cancellation are set.

These Terms continue to govern Referral Links, attribution, Commissions, Stripe payouts, and your participation in the Program, unless a Campaign Agreement expressly says otherwise.

• Pending is a record, not money you have earned yet. When a Referred User starts a trial, a Pending entry may appear on your dashboard. It is provisional. It is not earned and not payable, and it may be removed if the referral does not go on to qualify.
• What makes a Commission earned. Two things must both happen: the Referred User's first eligible paid subscription transaction must actually succeed, and a review period of 15 days must pass. Time alone never earns a Commission — a successful first payment does, and the 15 days only set the earliest date it can be released. We use the review period to account for refunds, chargebacks, and fraud checks.
• Available. Once both conditions are met and the entry has not been reversed, it becomes Available and can be paid out under §7.
• Clawbacks / reversals. We may void or reverse a Commission, and offset it against your current or future balances, if the Referred User's first eligible paid subscription transaction is refunded, charged back, disputed, or reversed, or if we determine the conversion was invalid, duplicated, a self-referral, fraudulent, or in violation of this Agreement.
• Cancelling later does not take your Commission away. Once the Referred User's first eligible payment has succeeded, that Commission is yours, whether or not the 15-day review period has finished. If they cancel or decline to renew after that point, we do not reverse it.
• Cancelling before that does. If they cancel during the free trial, or the first eligible payment never succeeds, no Qualifying Conversion occurred and the provisional entry is removed. No Commission is due.
• Renewals. A refund, chargeback, or dispute on a later renewal does not affect your one-time Commission for the first transaction.
• Adjustments. We may correct errors and adjust balances at any time to reflect accurate amounts owed.
• No interest. Balances do not accrue interest and are not a deposit, debt instrument, or stored value.

7.1 Payments are made only through Stripe

All payouts are made exclusively through Stripe to a Stripe connected account you create. We do not and cannot pay you by any other method (no cash, checks, PayPal, gift cards, crypto, or off-platform payments).

7.2 You must complete and maintain valid Stripe verification — or you will not be paid

To receive any payment, you must create a Stripe connected account through our payout-setup flow, complete Stripe Onboarding in full (identity, tax, and bank-account verification), and keep that account accurate, in good standing, and payout-enabled.

You are solely responsible for satisfying Stripe's requirements. We do not control Stripe's verification decisions and are not liable for them.

7.3 Your payout country is permanent — choose correctly

During payout setup you select your country. Stripe sets this at account creation and it cannot be changed afterward. You must select the country in which you hold a valid, eligible bank account. If you select the wrong country, or a country in which you cannot actually receive payouts, we cannot pay you and are not responsible for any earnings that cannot be delivered as a result. Correcting a country error may require creating a new account and re-verifying, and earnings tied to an unusable account may be lost.

7.4 Supported countries only

Payouts are available only in the countries Stripe supports for our Program (the current list is shown during payout setup). If your country is not supported, you may still participate, but you cannot be paid, and we are not liable for earnings you are unable to receive. Supported countries may change as Stripe's coverage changes.

7.5 Minimum payout, timing, and method

• Minimum threshold. We pay out only when your Available balance reaches at least $25.00 USD (or the then-current minimum). Balances below the minimum roll over.
• Requesting/receiving payouts. Payouts are initiated when you request them (or on our processing schedule) once you are payout-enabled and above the minimum. Timing depends on Stripe and your bank; we do not guarantee a specific arrival time.
• Currency & fees. Payouts are in USD and may be converted by Stripe to your local currency; currency conversion and cross-border payout fees may apply and may be deducted, and payouts may be subject to Stripe's terms and minimums.

7.6 Unclaimed / unpayable balances may be forfeited

If you have earnings that we cannot pay because you have not completed or maintained valid Stripe verification, chose an unusable country, are in an unsupported country, or are otherwise unpayable, those earnings will be held. If the condition is not resolved within 180 days of the earnings becoming Available (or within 180 days of Program termination), we may forfeit the unpayable balance in full, to the extent permitted by law. We will make no payment outside of Stripe.

• You are responsible for all taxes on amounts you receive. We do not withhold income tax from your payouts (except backup or other withholding that Stripe or law requires — e.g., if you fail to provide a valid tax ID).
• Tax forms. You must provide accurate tax information (e.g., a W-9 for U.S. persons or a W-8BEN for non-U.S. persons) as Stripe requests during onboarding. Failure to provide valid tax information may result in withholding or in your inability to be paid.
• Reporting. We and/or Stripe may report amounts paid to you as required by law (e.g., IRS Form 1099-NEC for eligible U.S. creators). Reporting does not mean we pay your taxes for you.
• You are responsible for any taxes owed in your own country.

You must not, directly or indirectly:

• Self-refer, or create, use, or reward accounts you control to generate referrals or conversions;
• Use bots, scripts, click farms, incentivized/paid-to-sign-up traffic, cookie stuffing, or any artificial, deceptive, or automated means to generate clicks, referrals, or conversions;
• Misrepresent Talk Here Now, its features, pricing, or your relationship with us; make false or misleading claims; or imply endorsement, partnership, or employment beyond participation in the Program;
• Spam, or promote your Referral Link/Code in a manner that violates any platform's rules, anti-spam laws, or advertising/disclosure laws (see §9.1 — disclosure is mandatory, not optional);
• Bid on, or use, our trademarks or confusingly similar terms in paid search or ads without our written permission, or register domains/handles that impersonate us;
• Promote Talk Here Now alongside, or in, illegal, infringing, hateful, sexually exploitative, or otherwise objectionable content or contexts;
• Attempt to manipulate attribution, holds, clawbacks, balances, or payouts; or reverse-engineer or interfere with our systems;
• Provide false identity, tax, banking, or eligibility information to us or to Stripe; or
• Violate any applicable law, third-party rights, or this Agreement.

Because of what Talk Here Now is — an AI product, for adults 18+, deliberately PG, and not a dating or romantic-companion service — you must also not:

• Show, instruct, encourage, or portray a minor using Talk Here Now, or aim promotion for it primarily at minors;
• Present it as a dating service, romantic partner, AI girlfriend or boyfriend, a sexual experience, or a replacement for human relationships;
• Present it as therapy, medical treatment, crisis support, or legal, financial, or other regulated professional advice;
• Claim the AI is human, conscious, sentient, alive, or capable of genuine human feelings;
• Fabricate conversations, product output, screenshots, results, or user experiences, or edit a demonstration in a way that misrepresents what the product actually did;
• Make unsupported claims about speed, privacy, security, safety, memory, device compatibility, language quality, or availability;
• Promise guaranteed income, guaranteed results, or guaranteed outcomes to anyone; or
• Imply that we reviewed, approved, or endorsed your opinions unless we have said so in writing.

Violations may result in immediate suspension or termination, reversal and forfeiture of balances, and other remedies.

9.1 You must disclose that you're paid — every time

Because you earn a commission, every post, story, video, stream, or message where you share your Referral Link or Code is paid advertising and must say so. Include a clear disclosure such as #ad — placed where people actually see it, before the link, not buried at the end of a caption, in a comment, or behind a "more" cut. This applies on every platform, every time, including short-form video and stories.

This applies to every material connection to us, not only Commissions: fixed campaign fees, free or discounted premium access, gifted benefits, or anything else of value. The disclosure has to be easy for an ordinary viewer to notice and understand:

• Video: show the disclosure on screen and say it out loud near the beginning. A line in the description alone is not enough.
• Captions and text posts: put it before or next to the endorsement and the Referral Link, above any "more" cut-off.
• Livestreams: repeat it periodically, so someone joining part-way through still sees it.
• Wording: use plain terms such as "ad", "sponsored", "paid partnership", or simply say what the arrangement is.
• Platform tools: where a paid-partnership or branded-content label exists, use it in addition to your own disclosure, not instead of it.
• Language: disclose in the same language as the content itself.

If you're unsure whether a post needs one, add it. You must promptly correct, update, or remove promotional content that does not meet these requirements. We may suspend Referral Links, withhold or reverse Commissions connected to non-compliant promotion, and remove creators who repeatedly fail to disclose.

9.2 Say what you actually think

Describe your real experience honestly, and don't claim to have used Talk Here Now if you haven't.

We do not require you to be positive. No Commission and no campaign fee is ever conditioned on a review being favourable. We may ask you to correct a factual error about the product, a missing disclosure, a legal problem, or something that doesn't match an agreed campaign brief — we will not ask you to misrepresent your genuine opinion.

We may, at any time and at our discretion, review, audit, investigate, hold, delay, reverse, or withhold payment of any Commission or balance that we reasonably believe is invalid, fraudulent, mistaken, or in violation of this Agreement or applicable law, and may request additional verification from you. We may freeze balances during an investigation. Our determinations are final and binding.

• We grant you a limited, revocable, non-exclusive, non-transferable license to use your Referral Link/Code and the Talk Here Now name/logo solely to promote Talk Here Now in accordance with this Agreement and any brand guidelines we provide.
• You gain no ownership of our intellectual property. You must not modify our marks, use them in a misleading way, or use them after your participation ends.
• You keep your content. You own what you make. You grant us a non-exclusive, worldwide, royalty-free licence to link to, embed, and organically repost your public content promoting Talk Here Now on our own websites, social accounts, emails, and Creator Program materials, with reasonable attribution.
• We may make technical formatting changes — cropping, resizing, captioning, changing aspect ratio — but we will not materially alter your meaning or your opinion.
• Paid advertising is separate. Running your content as a paid ad, whitelisting it on your handle, sublicensing it, substantially editing it, using your raw files, making derivative ads, or using your name, image, voice, or likeness outside the original public content all require your separate written permission or a Campaign Agreement.

11.1 Ideas and feedback

If you volunteer ideas, suggestions, feature requests, or other feedback about Talk Here Now or the Program, we may use it without restriction, attribution, compensation, or any ownership obligation, and it is not confidential unless we agree in writing that it is. This does not affect ownership of the videos, photographs, artwork, music, or other content you create — that stays yours.

We may change, suspend, or discontinue the Program (including Commission rates, qualifying events, hold periods, minimums, and supported countries) and these Terms. We will give you reasonable advance notice of material changes — normally at least seven days — through your Creator dashboard and/or the email on your account.

Changes that reduce what you earn apply only going forward. A change that lowers a Commission rate, narrows a qualifying event, or otherwise materially reduces your compensation applies to referral activity occurring after the stated effective date. It does not retroactively remove or reduce a valid Commission you have already earned.

We may make a change immediately where reasonably necessary to address fraud, security, abuse, a legal requirement, or a requirement of our payment processor. We may also require you to accept materially updated Terms before continuing to participate.

If we discontinue the Program, we will pay out eligible, payable Available balances, and Pending balances once they mature, subject to these Terms (including §7).

• By you: you may stop participating and/or close your account at any time.
• By us: we may suspend or terminate your participation, your account, or the Program, at any time, for any reason or no reason, including for suspected violation of this Agreement.
• Effect: upon termination, your license to use our marks and your Referral Link/Code ends immediately, and no new referrals or Commissions accrue.
• What happens to money you already earned. Valid Qualifying Conversions from before termination continue through their hold period and remain payable if they otherwise satisfy these Terms. Termination without a breach by you does not by itself forfeit an otherwise valid Commission. On account closure or termination without cause, your valid Available balance, and Pending entries once they qualify, remain payable under the ordinary terms of §7, including the minimum payout amount. We may hold unpaid balances for a reasonable period after termination to account for cancellations, refunds, and chargebacks, so that the correct amount is paid.
• Exception: we may withhold, void, or reverse amounts connected to fraud, self-referrals, chargebacks, invalid traffic, disclosure violations, or other breaches of this Agreement. Balances that remain unpayable under §7 are handled as described in §7.6.

• No guarantee of earnings. Participation does not guarantee any referrals, conversions, or income. Any figures we show are estimates, not promises.
• Independent contractor. You are an independent contractor. Nothing creates an employment, agency, partnership, joint venture, or franchise relationship. You have no authority to act for or bind us, and you are responsible for your own expenses, equipment, and taxes.

THE PROGRAM AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PROGRAM, TRACKING, ATTRIBUTION, OR PAYOUTS WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE. WE ARE NOT RESPONSIBLE FOR STRIPE, YOUR BANK, OR ANY THIRD PARTY, OR FOR DELAYS, FAILURES, RESTRICTIONS, HOLDS, OR DECISIONS OF STRIPE OR YOUR BANK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALK HERE NOW AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST EARNINGS, LOST OPPORTUNITIES, OR LOST DATA, ARISING OUT OF OR RELATING TO THE PROGRAM OR THIS AGREEMENT. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS ACTUALLY PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (AND, IF NONE, $100). Some jurisdictions do not allow certain limitations; where prohibited, the above applies to the fullest extent permitted.

You will defend, indemnify, and hold harmless Talk Here Now and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your participation in the Program, your promotional activities, your content, your violation of this Agreement or any law, or your provision of false information.

We process your information as described in our Privacy Policy. Your identity, tax, and banking information for payouts is collected and held by Stripe under Stripe's terms and privacy policy; we do not store your full banking or government-ID details.

This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules. You and Talk Here Now submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute not subject to an applicable arbitration or small-claims process, and waive any objection to venue there.

• Entire agreement. This Agreement is the entire agreement between you and us regarding the Program and supersedes prior understandings.
• Assignment. You may not assign this Agreement without our consent; we may assign it freely.
• No waiver. Our failure to enforce a provision is not a waiver.
• Severability. If a provision is unenforceable, the rest remains in effect.
• Survival. Sections that by their nature should survive (including §5–§10, §14–§20) survive termination.
• Notices. We may provide notices via the Program dashboard, your account email, or by posting. Notices to us: legal@talkherenow.com.
• Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
