The Creator Program agreement, in plain language.

Please read this first
- Earning a referral is not the same as getting paid. You are only paid if you complete and maintain a valid payout account with our payments processor, Stripe.
- You must be fully verified with Stripe to receive any money. If you never finish Stripe's identity/tax/bank verification — or Stripe rejects, restricts, or closes your account — we cannot and will not pay you, no matter how many referrals you generated. Unpayable balances may be forfeited.
- The country you choose at payout setup is permanent. Stripe locks it at account creation and it cannot be changed. Pick the country where you actually hold a valid bank account.
- Commissions are held for a hold period, can be reversed if the referred subscription is refunded or cancelled, and are paid only above a minimum threshold.
- You handle your own taxes. We may change or end the Program at any time.
Acceptance of these terms
By enrolling in, accessing, or participating in the Program, you agree to these Creator Program Terms & Conditions (these "Terms"), our Privacy Policy, the general Talk Here Now Terms of Service, and any additional program rules we publish (collectively, the "Agreement"). If you do not agree, do not enroll or participate. We may require you to affirmatively accept these Terms (e.g., by checking "I agree") before participating. If you participate on behalf of a business, you represent that you are authorized to bind it.
Definitions
- "Creator" / "you" — an individual or entity accepted into and participating in the Program.
- "Referral Link / Code" — the unique link and/or code we issue you to track referrals (e.g., talkherenow.com/?ref=YOURCODE).
- "Referred User" — a person who first arrives at Talk Here Now through your Referral Link/Code and creates a Talk Here Now account.
- "Qualifying Conversion" — a Referred User's first eligible paid subscription that we credit under the current Program rules.
- "Commission" — the amount we credit you for a Qualifying Conversion (see §5).
- "Stripe" — Stripe, Inc. and its affiliates, our third-party payments processor, through which all payouts are made.
- "Stripe Onboarding" — the identity, tax, and bank-account verification Stripe requires before it will pay a connected account.
- "Pending / Available / Paid" — the states of a Commission (see §5–§6).
Eligibility
To participate you must:
- Be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract;
- Provide accurate, complete information and keep it current;
- Reside in, and be able to receive payouts in, a country we support for payouts (see §7.4);
- Not be a Talk Here Now employee, contractor, or immediate-household member of one (except as we expressly permit);
- Not be barred from receiving payments under applicable law (including sanctions and export-control laws); and
- Comply with this Agreement and all applicable laws.
We may accept or decline any applicant, and impose additional eligibility requirements, at our discretion.
Your account & Referral Link
- One account per person/entity. Duplicate, fake, or bulk accounts are prohibited and may be terminated with forfeiture of balances.
- You are responsible for all activity under your account and for keeping your credentials secure.
- Your Referral Link/Code is licensed to you for use only as permitted by this Agreement; we may change, reissue, or deactivate it at any time.
How you earn
- Attribution is first-touch and one-time. A Referred User is attributed to the first valid Referral Link/Code they use, and each user can be attributed to only one Creator, ever. Later links do not change attribution.
- A Commission is earned only on a Qualifying Conversion — i.e., when a Referred User you attributed makes their first eligible paid subscription, as determined by us and our billing records.
- Current Commission: $5.00 USD per Qualifying Conversion. Amounts, qualifying events, and any recurring/one-time structure are set by the current Program rules and may change at any time (see §12). The rules in effect at the time of the conversion apply.
- No credit for: self-referrals; users you attribute to yourself or to accounts you control; conversions we determine to be fraudulent, invalid, incentivized in violation of §9, reversed, or not genuinely new; or conversions occurring before you were validly enrolled.
- We are the sole record of truth for clicks, referrals, attributions, conversions, and balances. Our determinations are final.
Balances, holds, and clawbacks
- Hold period. Each Commission is credited as Pending and matures to Available only after a hold period (currently 15 days) and only if it has not been reversed. We use holds to account for refunds, chargebacks, cancellations, and fraud review.
- Clawbacks / reversals. If a Referred User's subscription is refunded, charged back, disputed, reversed, or cancelled, or if we determine a conversion was invalid, fraudulent, or violated this Agreement, we may void or reverse the related Commission (whether Pending, Available, or already Paid), and may offset it against your current or future balances.
- Adjustments. We may correct errors and adjust balances at any time to reflect accurate amounts owed.
- No interest. Balances do not accrue interest and are not a deposit, debt instrument, or stored value.
Payouts — please read carefully
7.1 Payments are made only through Stripe
All payouts are made exclusively through Stripe to a Stripe connected account you create. We do not and cannot pay you by any other method (no cash, checks, PayPal, gift cards, crypto, or off-platform payments).
7.2 You must complete and maintain valid Stripe verification — or you will not be paid
To receive any payment, you must create a Stripe connected account through our payout-setup flow, complete Stripe Onboarding in full (identity, tax, and bank-account verification), and keep that account accurate, in good standing, and payout-enabled.
If you do not complete Stripe Onboarding, or if Stripe rejects, restricts, suspends, closes, or fails to enable payouts on your account, or if you provide inaccurate information, we are unable to pay you and have no obligation or ability to do so — regardless of how many referrals or Qualifying Conversions you generated. Generating referrals does not entitle you to payment; only fully verified, payout-enabled creators are paid.
You are solely responsible for satisfying Stripe's requirements. We do not control Stripe's verification decisions and are not liable for them.
7.3 Your payout country is permanent — choose correctly
During payout setup you select your country. Stripe sets this at account creation and it cannot be changed afterward. You must select the country in which you hold a valid, eligible bank account. If you select the wrong country, or a country in which you cannot actually receive payouts, we cannot pay you and are not responsible for any earnings that cannot be delivered as a result. Correcting a country error may require creating a new account and re-verifying, and earnings tied to an unusable account may be lost.
7.4 Supported countries only
Payouts are available only in the countries Stripe supports for our Program (the current list is shown during payout setup). If your country is not supported, you may still participate, but you cannot be paid, and we are not liable for earnings you are unable to receive. Supported countries may change as Stripe's coverage changes.
7.5 Minimum payout, timing, and method
- Minimum threshold. We pay out only when your Available balance reaches at least $25.00 USD (or the then-current minimum). Balances below the minimum roll over.
- Requesting/receiving payouts. Payouts are initiated when you request them (or on our processing schedule) once you are payout-enabled and above the minimum. Timing depends on Stripe and your bank; we do not guarantee a specific arrival time.
- Currency & fees. Payouts are in USD and may be converted by Stripe to your local currency; currency conversion and cross-border payout fees may apply and may be deducted, and payouts may be subject to Stripe's terms and minimums.
7.6 Unclaimed / unpayable balances may be forfeited
If you have earnings that we cannot pay because you have not completed or maintained valid Stripe verification, chose an unusable country, are in an unsupported country, or are otherwise unpayable, those earnings will be held. If the condition is not resolved within 180 days of the earnings becoming Available (or within 180 days of Program termination), we may forfeit the unpayable balance in full, to the extent permitted by law. We will make no payment outside of Stripe.
Taxes
- You are responsible for all taxes on amounts you receive. We do not withhold income tax from your payouts (except backup or other withholding that Stripe or law requires — e.g., if you fail to provide a valid tax ID).
- Tax forms. You must provide accurate tax information (e.g., a W-9 for U.S. persons or a W-8BEN for non-U.S. persons) as Stripe requests during onboarding. Failure to provide valid tax information may result in withholding or in your inability to be paid.
- Reporting. We and/or Stripe may report amounts paid to you as required by law (e.g., IRS Form 1099-NEC for eligible U.S. creators). Reporting does not mean we pay your taxes for you.
- You are responsible for any taxes owed in your own country.
Prohibited conduct
You must not, directly or indirectly:
- Self-refer, or create, use, or reward accounts you control to generate referrals or conversions;
- Use bots, scripts, click farms, incentivized/paid-to-sign-up traffic, cookie stuffing, or any artificial, deceptive, or automated means to generate clicks, referrals, or conversions;
- Misrepresent Talk Here Now, its features, pricing, or your relationship with us; make false or misleading claims; or imply endorsement, partnership, or employment beyond participation in the Program;
- Spam, or promote your Referral Link/Code in a manner that violates any platform's rules, anti-spam laws, or advertising/disclosure laws (see §9.1 — disclosure is mandatory, not optional);
- Bid on, or use, our trademarks or confusingly similar terms in paid search or ads without our written permission, or register domains/handles that impersonate us;
- Promote Talk Here Now alongside, or in, illegal, infringing, hateful, sexually exploitative, or otherwise objectionable content or contexts;
- Attempt to manipulate attribution, holds, clawbacks, balances, or payouts; or reverse-engineer or interfere with our systems;
- Provide false identity, tax, banking, or eligibility information to us or to Stripe; or
- Violate any applicable law, third-party rights, or this Agreement.
Violations may result in immediate suspension or termination, reversal and forfeiture of balances, and other remedies.
9.1 You must disclose that you're paid — every time
Because you earn a commission, every post, story, video, stream, or message where you share your Referral Link or Code is paid advertising and must say so. Include a clear disclosure such as #ad — placed where people actually see it, before the link, not buried at the end of a caption, in a comment, or behind a "more" cut. This applies on every platform, every time, including short-form video and stories.
This is not optional and it is not our preference — it is the law. The U.S. Federal Trade Commission requires disclosure of a material connection whenever you're compensated to promote something, and current penalties run to $53,088 per undisclosed post. Enforcement actions name individual creators, not just the brands they promote, so the risk here is yours personally. If you're unsure whether a post needs a disclosure, add one — there is no downside to disclosing, and we would rather you over-disclose than under-disclose. We may withhold or reverse Commissions on undisclosed promotions and remove creators who repeatedly fail to disclose.
Audits, investigations, holds, and reversals
We may, at any time and at our discretion, review, audit, investigate, hold, delay, reverse, or withhold payment of any Commission or balance that we reasonably believe is invalid, fraudulent, mistaken, or in violation of this Agreement or applicable law, and may request additional verification from you. We may freeze balances during an investigation. Our determinations are final and binding.
Brand & intellectual property
- We grant you a limited, revocable, non-exclusive, non-transferable license to use your Referral Link/Code and the Talk Here Now name/logo solely to promote Talk Here Now in accordance with this Agreement and any brand guidelines we provide.
- You gain no ownership of our intellectual property. You must not modify our marks, use them in a misleading way, or use them after your participation ends.
- We may use your public handle/username, and content you share publicly about the Program, to operate and promote the Program.
Changes to the Program and these Terms
We may change, suspend, or discontinue the Program (including Commission rates, qualifying events, hold periods, minimums, supported countries, and these Terms) at any time, with or without notice, to the extent permitted by law. Changes are effective when posted (or as otherwise stated). Your continued participation after a change means you accept it. If we discontinue the Program, we will pay out eligible, payable Available balances above the minimum, subject to these Terms (including §7), and remaining amounts may be forfeited as described in §7.6.
Suspension & termination
- By you: you may stop participating and/or close your account at any time.
- By us: we may suspend or terminate your participation, your account, or the Program, at any time, for any reason or no reason, including for suspected violation of this Agreement.
- Effect: upon termination, your license to use our marks and Referral Link/Code ends immediately. Pending and invalid balances are forfeited. Available, payable balances above the minimum will be paid only if you are and remain validly verified with Stripe (see §7); balances that are unpayable under §7 may be forfeited. We may withhold payment of any balances associated with a violation.
No guarantee; independent contractor
- No guarantee of earnings. Participation does not guarantee any referrals, conversions, or income. Any figures we show are estimates, not promises.
- Independent contractor. You are an independent contractor. Nothing creates an employment, agency, partnership, joint venture, or franchise relationship. You have no authority to act for or bind us, and you are responsible for your own expenses, equipment, and taxes.
Disclaimers
THE PROGRAM AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PROGRAM, TRACKING, ATTRIBUTION, OR PAYOUTS WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE. WE ARE NOT RESPONSIBLE FOR STRIPE, YOUR BANK, OR ANY THIRD PARTY, OR FOR DELAYS, FAILURES, RESTRICTIONS, HOLDS, OR DECISIONS OF STRIPE OR YOUR BANK.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALK HERE NOW AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST EARNINGS, LOST OPPORTUNITIES, OR LOST DATA, ARISING OUT OF OR RELATING TO THE PROGRAM OR THIS AGREEMENT. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS ACTUALLY PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (AND, IF NONE, $100). Some jurisdictions do not allow certain limitations; where prohibited, the above applies to the fullest extent permitted.
Indemnification
You will defend, indemnify, and hold harmless Talk Here Now and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your participation in the Program, your promotional activities, your content, your violation of this Agreement or any law, or your provision of false information.
Privacy & data
We process your information as described in our Privacy Policy. Your identity, tax, and banking information for payouts is collected and held by Stripe under Stripe's terms and privacy policy; we do not store your full banking or government-ID details.
Governing law & dispute resolution
This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules. You and Talk Here Now submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute not subject to an applicable arbitration or small-claims process, and waive any objection to venue there.
General
- Entire agreement. This Agreement is the entire agreement between you and us regarding the Program and supersedes prior understandings.
- Assignment. You may not assign this Agreement without our consent; we may assign it freely.
- No waiver. Our failure to enforce a provision is not a waiver.
- Severability. If a provision is unenforceable, the rest remains in effect.
- Survival. Sections that by their nature should survive (including §5–§10, §14–§20) survive termination.
- Notices. We may provide notices via the Program dashboard, your account email, or by posting. Notices to us: legal@talkherenow.com.
- Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
